Terms of Service

1. Acceptance of terms

These Terms of Service (“Terms”) are a binding agreement between you (“you”) and Fixadspend LLC, a Wyoming limited liability company with its principal office at 30 N Gould St Ste R, Sheridan, WY 82801, United States (“FixAdSpend”, “we”, “us”, or “our”). By accessing or using the website located at fixadspend.ai or any related domain we operate (collectively, the “Site”), you agree to be bound by these Terms. If you do not agree, do not use the Site.

2. Current status of the service

As of the effective date above, the FixAdSpend product is in pre-launch. The Site is a marketing and waitlist surface only. Statements on the Site about product features, pricing, timelines, or projected savings are illustrative and are not commercial commitments, offers, or guarantees. We may add, remove, or modify any feature, plan, or content at any time without notice prior to launch.

3. Eligibility

To use the Site you confirm that:

• You are at least 18 years of age.
• You are using the Site in connection with a legitimate business purpose, on your own behalf or on behalf of an organization you are authorized to represent.
• You are not located in, or a national of, any country or region subject to comprehensive US trade sanctions, and you are not listed on any US government denied-party list.
• You are not barred from using the Site under any applicable law.

4. The waitlist

Joining the waitlist by submitting your email address is free. It does not create a customer relationship and does not entitle you to any product, pricing, or access. We may grant or decline access at our discretion at the time of launch.

You may remove yourself from the waitlist at any time by emailing admin@fixadspend.ai.

5. Acceptable use

You agree that you will not do any of the following:

• Use the Site for any unlawful purpose or to violate any applicable law.
• Submit waitlist entries using an email address you do not own or are not authorized to use, or use the form for spam, harassment, or impersonation.
• Attempt to gain unauthorized access to the Site, any underlying systems, or any user’s account or data.
• Probe, scan, or test the vulnerability of the Site, or breach or circumvent any security or authentication measure.
• Interfere with or disrupt the Site, including through denial-of-service attacks, bot traffic, or excessive automated requests.
• Scrape, mirror, frame, or otherwise copy substantial portions of the Site for commercial purposes without our written permission.
• Reverse engineer, decompile, or disassemble any part of the Site except to the extent expressly permitted by applicable law.
• Upload or transmit any virus, worm, malware, or other harmful code.

We may suspend or block access for any user we reasonably believe is engaging in any of the above activities.

6. Intellectual property

The Site, including all text, graphics, logos, icons, images, code, content arrangement, and the FixAdSpend name and logo, is owned by or licensed to Fixadspend LLC and is protected by US and international intellectual property laws.

Subject to your compliance with these Terms, we grant you a personal, revocable, non-exclusive, non-transferable, non-sublicensable license to view the Site in a standard web browser solely for the purpose of evaluating whether to join the waitlist. All other rights are reserved.

7. Privacy

Our handling of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Site you acknowledge that you have read our Privacy Policy.

8. Disclaimer of warranties

The Site is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, or availability.

We do not warrant that the Site will be uninterrupted, error-free, or free from viruses or harmful components. Any reliance you place on content on the Site, including pre-launch product descriptions or illustrative figures, is at your own risk.

9. Limitation of liability

To the maximum extent permitted by applicable law, in no event will Fixadspend LLC, its officers, members, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, business opportunity, or goodwill, arising out of or in connection with your access to or use of the Site, whether based on contract, tort (including negligence), strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.

Our aggregate liability to you for all claims arising out of or relating to the Site or these Terms will not exceed one hundred US dollars (US$100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above may not apply to you. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Fixadspend LLC and its officers, members, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Site in violation of these Terms; (b) your violation of any law or third-party right; or (c) any content you submit to us, including any email address or message.

11. Changes to these terms

We may update these Terms from time to time. When we make material changes, we will revise the “Last updated” date at the top of this page and, where appropriate, provide additional notice (such as a banner on the Site or an email to the address you used to join the waitlist). Continued use of the Site after the changes take effect constitutes acceptance of the updated Terms.

12. Termination

We may suspend or terminate your access to the Site at any time and for any reason, including if we reasonably believe you have violated these Terms. You may stop using the Site at any time. Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will survive.

13. Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws principles. You and Fixadspend LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Site that is not resolved informally within 30 days of written notice will be resolved exclusively in the state or federal courts located in Sheridan County, Wyoming, and each party consents to the personal jurisdiction of those courts.

The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
